Jennifer Zepralka offers clients years of experience advising public companies on their obligations under the federal securities laws and on related corporate governance requirements. She also works with growth companies as they seek to raise capital under the federal securities laws and become public companies. Jennifer is the former Chief of the Office of Small Business Policy in the US Securities and Exchange Commission’s Division of Corporation Finance and has also held other roles within the Division over her years with the Commission.

Jennifer obtained her AB from Dartmouth College and earned her JD from the University of Pennsylvania Law School.

Liz Walsh is counsel in Mayer Brown’s Washington DC office and a member of the Public Companies & Corporate Governance and Capital Markets practices. She advises public companies on their obligations under the federal securities laws and on related corporate governance requirements. Liz also provides advice to public companies regarding compliance with SEC executive compensation disclosure requirements and Section 13 and Section 16 reporting. In addition, she advises on corporate governance matters, including advice regarding director independence, board committee structure and charters, codes of conduct, corporate governance guidelines, controls and procedures, CEO and CFO certifications, and NYSE and Nasdaq requirements.

Liz spent over 11 years at the US Securities and Exchange Commission in the Division of Corporation Finance. She most recently served as Acting Director of the Office of Small Business Policy and previously served as Special Counsel to the Deputy Director of the Division.

Liz obtained her BA from Boston University and earned her JD from Duke University School of Law.

Edward has been involved in hundreds of proxy solicitation campaigns and has led clients to successful outcomes in various matters relating to executive compensation, corporate governance and shareholder activism. He provides year-round corporate governance advisory services to help numerous Russell 3000 and Fortune 500 companies make smarter governance decisions.

He is a member of Georgeson’s Activism and M&A teams and regularly contributes to Georgeson content development. He has also been a featured speaker for IR Magazine and the National Investor Relations Institute (NIRI) webinars.

Prior to joining Georgeson, Edward oversaw the Kingsdale U.S. research team as vice president of research. He also served as vice president of governance at AST Phoenix Advisors and vice president at Laurel Hill Advisory Group.

Edward is an active member of the Society for Corporate Governance and the NIRI.

James Tanaka has extensive work experience in the legal and securities field. James currently holds the position of Vice President, Securities & Governance and Secretary at Veralto since September 2023. Prior to that, they served as Vice President, Securities and Governance at Danaher Corporation from June 2023 to September 2023. From November 2015 to September 2022, they were the Chief Securities Counsel & EVP at AR Global Investments, LLC.

James also held roles as General Counsel at RCS Capital Corporation and EVP at American Realty Capital from January 2013 to November 2015. From January 2011 to January 2013, they worked as Chief Securities Counsel -- Deputy General Counsel at American Realty Capital. James's earlier experience includes working as an Associate at Proskauer Rose LLP from November 2005 to January 2011 and as an Associate at Mayer, Brown, Rowe & Maw LLP from 2002 to 2005.

James Tanaka earned a Bachelor of Arts degree in History and Political Science from Columbia University from 1992 to 1996. James then pursued a Master of Arts degree in CIR - International Relations from the University of Chicago - Committee on International Relations from 1998 to 1999. Following that, Tanaka attended Northwestern University Pritzker School of Law, completing their Juris Doctor degree in International Law from 2000 to 2002.
